Seller & Consignment Terms

1.Scope

These Seller & Consignment Terms apply when you submit an item to Alist Archive LLC for consignment or outright purchase. They are in addition to our Terms of Service, which continue to apply, including their dispute resolution and arbitration provisions.

2.Who can consign

• You must be at least 18 years old and a U.S. resident with a U.S. bank account or supported payout method.
• You must complete identity verification and, for payouts, provide a valid taxpayer identification number on a Form W-9.
• We screen consignors against U.S. sanctions and restricted-party lists and cannot work with a person or entity on those lists.
• We may decline any item or any consignor at our discretion, and we may end a consignment relationship on notice.

3.Your warranties

For every item you submit, you represent and warrant that:

1. you are the sole legal owner of the item, or you are expressly authorized by the owner to consign it;
2. the item is free of any lien, security interest, claim, or restriction on resale;
3. the item is genuine, is not counterfeit, and does not bear altered, removed, or replaced brand identifiers;
4. the item was not stolen, obtained by fraud, or acquired in violation of any law;
5. you have disclosed every repair, restoration, replaced component, alteration, and material flaw known to you;
6. the item complies with our materials policy and does not contain fur, ivory, tortoiseshell, or any CITES Appendix I material; and
7. the information you give us about the item is accurate and complete.

4.Intake, authentication, and rejection

• We inspect, authenticate, photograph, measure, and grade each item on arrival, and we record its condition at intake.
• Our condition grade and description are our own assessment and are final for listing purposes.
• If we cannot authenticate an item, or the item does not meet our category, condition, or materials standards, we will tell you and return it at [[WHO PAYS RETURN SHIPPING FOR REJECTED ITEMS]] cost.
• If an item arrives materially different from what you described, we may reject it or, with your agreement, list it at a revised price.

5.The consignment relationship

For consigned items, you retain title until the item is sold to a buyer, and ALIST acts as your agent for the sale and as the seller of record to the buyer, including for sales tax purposes. Title passes directly from you to the buyer on sale. Nothing in these terms creates a partnership, employment, or joint venture between us.

If you instead accept an outright purchase offer, title passes to us on acceptance and payment, and the consignment provisions below do not apply.

6.Pricing and merchandising

• We set the list price based on brand, condition, rarity, and current market data, and we will tell you the price before the item goes live.
• We may reduce the price over time according to our published markdown schedule, and we may include the item in promotions. Where a reduction exceeds [[MAXIMUM AUTOMATIC MARKDOWN PERCENTAGE]], we will notify you before it takes effect.
• We control listing copy, photography, and merchandising placement, and we may relist an item that is returned by a buyer.
• You may ask us to withdraw an unsold item at any time; withdrawal takes effect once the listing is removed, and it does not affect an order already placed.

7.Commission and payouts

• Payouts are released after the buyer's return window has closed and the sale is final — normally within [[PAYOUT DAYS]] days of the sale, and never before the 5-day return window has expired.
• Payouts are made by [[PAYOUT METHODS]] to the account you verify with us.
• If a buyer returns an item, or a sale is reversed by a chargeback or an upheld authenticity claim, any payout already released is reversed and the amount may be offset against future payouts or invoiced to you.
• We report payouts to tax authorities where required and will issue a Form 1099-K or other applicable form. You are responsible for your own taxes.
• We may withhold a payout while we investigate a suspected breach of these terms, a title dispute, or a legal claim relating to the item.

8.Custody, risk, and insurance

While your item is in our possession, we hold it with the care we use for our own inventory and insure it against loss and physical damage up to [[INSURANCE CAP PER ITEM]] per item. Our liability for loss of or damage to an item in our custody is limited to the lesser of that cap, the agreed list price, and the item's documented fair market value, and we are not liable for indirect or consequential loss, including lost profit or sentimental value.

Risk of loss during shipment to us is yours until the item is scanned into our facility. Use the trackable and insured label we provide, or an equivalent service.

9.Unsold and unclaimed items

• If an item does not sell within [[CONSIGNMENT PERIOD]] days, we will contact you at the address on your account with the option to have it returned or to extend the consignment.
• Return shipping for unsold items is [[WHO PAYS RETURN SHIPPING FOR UNSOLD ITEMS]].
• If you do not respond within 60 days of that notice, and after we have made at least two documented attempts to reach you, we will hold the item and treat it in accordance with the unclaimed property law of the applicable state. We do not take ownership of an unclaimed item except to the extent state law permits it.

10.Indemnification and liability

You agree to indemnify and hold harmless Alist Archive LLC and its officers, directors, employees, and agents against any claim, loss, liability, penalty, or expense (including reasonable attorneys' fees) arising from a breach of your warranties above, from a claim that an item you consigned is counterfeit, stolen, or subject to a third-party right, or from any tax, customs, or regulatory liability relating to an item you submitted.

Our aggregate liability to you in connection with any item is limited as set out in Custody, risk, and insurance, and otherwise as set out in the Terms of Service.

11.Your information

We collect identity, tax, and payout information to verify you, meet sanctions and tax obligations, and pay you. How we handle it is described in the Privacy Policy. Item photographs and authentication records created during intake belong to ALIST and remain part of the item's record after it is sold.

12.Changes, termination, and disputes

We may update these terms as described in the Terms of Service. Changes do not affect items already accepted for consignment. Either of us may end the relationship on written notice; items already listed remain subject to these terms until they sell or are returned. Disputes are resolved under the Dispute resolution section of the Terms of Service, including its arbitration agreement and class action waiver, and any claim must be brought within 12 months of the event giving rise to it.
